Terms of Service

1. Acceptance of Terms
By accessing Outplacer's services, you accept and agree to be bound by these terms. This agreement applies to all users including browsers, vendors, customers, merchants, and content contributors.
2. Eligibility
You must be at least 18 years old and have the legal capacity to form binding contracts with the Company.
3. Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for safeguarding your password and all activities that occur under your account. Unauthorized access or security breaches must be reported immediately.
4. Subscription and Payment Terms
4.1 Subscription Period
Paid subscriptions are billed monthly or annually and are non-refundable. Subscriptions automatically renew unless cancelled before the renewal date.
4.2 Billing and Cancellation
You can cancel anytime through your account settings. Cancellations take effect at the end of the current billing period. No partial refunds apply to mid-cycle cancellations.
4.3 Price Changes
We reserve the right to modify pricing with at least 30 days' notice, effective at the next billing period.
5. Service Usage and Indemnification
5.1 No Outcome Guarantees
Outplacer does not guarantee specific outcomes or results. Individual results vary based on effort, commitment, market conditions, and circumstances.
5.2 AI-Generated Content
The Service may provide AI-generated recommendations and content. Such material should not be considered professional advice and may contain errors. You are solely responsible for evaluating information before acting on it.
5.3 User Responsibility and Indemnification
You acknowledge sole responsibility for your actions and decisions. You agree to indemnify, defend, and hold harmless Outplacer, its officers, directors, employees, agents, and affiliates from claims, demands, damages, losses, liabilities, costs, and expenses (including attorney's fees) arising from your actions, reliance on Service content, decisions based on Service information, or failure to seek professional advice.
6. Use of Service
You agree to use the Service only for lawful purposes. You cannot:
- Violate applicable federal, state, local, or international laws
- Transmit defamatory, offensive, or objectionable material
- Impersonate the Company, other users, or entities
- Infringe on others' rights
- Restrict or inhibit anyone's use or enjoyment of the Service
7. Intellectual Property Rights
The Service and its original content, features, and functionality are the exclusive property of Outplacer and its licensors. The Service is protected by copyright and trademark laws. Our trademarks and trade dress cannot be used without prior written consent.
8. User Content
You retain ownership of your content but grant Outplacer a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute submitted content solely for the purpose of providing and improving the Service. You warrant that you own or have the necessary licenses, rights, consents, and permissions for all submitted content.
8A. Marketplace Listings and Reviews
Coaches may publish a public marketplace listing (name, photo, headline, biography, specialties, services, work history, and a booking link). Publishing is voluntary, and a listing may be hidden or removed at any time from Settings. Organizations may publish listings for their members and may hide them; a listing published under an organization ends when the membership ends. Reviews are by invitation only: a coach may invite a client who has completed a paid engagement through the Service, and each invitation is a single-use link. Reviews are displayed with the reviewer's first name and last initial and marked "Verified client". You agree that reviews you submit are your honest experience; Outplacer may remove reviews that are abusive, fraudulent, or unrelated to the engagement. Booking an introductory call hands you off to the coach's own scheduling provider, whose terms apply to that booking.
9. Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which details our data collection practices.
10. Termination
We may terminate or suspend your account and bar access to the Service immediately, without notice or liability, at our sole discretion for any reason, including breach of these Terms. Upon termination, your rights to use the Service cease immediately.
11. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We make no warranty regarding the completeness, security, reliability, quality, accuracy, or availability of the Service.
12. Limitation of Liability
Outplacer, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data, use, goodwill, or intangible losses arising from your use of the Service.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its licensees and licensors, and their employees, contractors, agents, officers, and directors from claims, damages, obligations, losses, liabilities, costs, debt, and expenses including attorney's fees.
14. Governing Law
These Terms are governed by the laws of the United States without regard to conflict of law provisions. Failure to enforce any right does not constitute a waiver.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time. Material revisions require at least 30 days' notice before taking effect.
